Affiliate Terms and Conditions

1. Program Overview

The Happy Howl Affiliate Program allows approved affiliates to earn commissions by promoting Happy Howl products using a unique referral link via Social Snowball.

Commissions are earned only on qualifying purchases made through your referral link and are subject to these terms.

2. Eligibility & Approval

  • All affiliates must be approved by Happy Howl.
  • We reserve the right to approve, reject, suspend, or remove any affiliate at our sole discretion.
  • Affiliates must be at least 18 years old to participate.

3. Commission Eligibility & Discretion

  • Commissions are tracked through Happy Howl’s affiliate tracking system.
  • Happy Howl reserves the absolute right to determine whether any referral, sale, or commission is eligible for payout for any reason, at any time. We may withhold, reverse, or cancel commissions due to (including but not limited to):
  • Suspected fraud or abuse
  • Violations of these terms
  • Refunds, chargebacks, or canceled orders
  • Tracking issues or technical errors
  • Any activity we believe is not in the best interest of the Happy Howl brand

Happy Howl’s decision regarding commission eligibility is final.

4. Promotional Guidelines

Affiliates agree to:

  • Promote Happy Howl honestly and accurately
  • Clearly disclose affiliate relationships in accordance with FTC guidelines
  • Use only approved Happy Howl brand assets when provided
  • Avoid false, misleading, or exaggerated claims
  • Represent Happy Howl in a professional and brand-appropriate manner

5. Paid Advertising & Brand Bidding (Strictly Prohibited Without Approval)

Affiliates may not, without prior written approval from Happy Howl:

  • Run paid ads (including Google Ads, social media ads, or any paid traffic source) promoting Happy Howl products
  • Bid on, use, or target the Happy Howl brand name, misspellings, or branded keywords
  • Run ads that appear to be operated by or affiliated with Happy Howl

Violations may result in:

  • Immediate cancellation of commissions
  • Removal from the Affiliate Program
  • Termination without payout

6. Prohibited Activities

Affiliates may not:

  • Use spam, bots, or automated traffic
  • Engage in cookie stuffing or deceptive tracking practices
  • Post affiliate links on coupon, deal, or discount sites without approval
  • Promote Happy Howl on sites containing illegal, offensive, or inappropriate content
  • Impersonate Happy Howl or present themselves as an employee or official representative

7. Payouts

  • Affiliate payouts are made on the first business day of the month following the eligible sale.
  • Example: If you make an eligible sale on January 5, 2025, your payout will be initiated on February 2, 2025 (the first Monday of the following month).
  • Only commissions deemed eligible by Happy Howl will be paid.
  • Payouts may be delayed or withheld due to compliance reviews, disputes, refunds, or violations of these terms.

8. Confidentiality & Non-Disclosure

8.1 Definition of Confidential Information

"Confidential Information" means any and all non-public information disclosed to the Affiliate by Happy Howl in connection with the Affiliate Program, whether disclosed orally, in writing, electronically, or by any other means, including but not limited to: commission rates and structures; partner program economics and financial terms; affiliate recruitment strategies and onboarding processes; customer acquisition methods, distribution models, and go-to-market strategies; pricing strategies, product roadmaps, and business plans; marketing materials, campaign strategies, and promotional playbooks not yet publicly released; customer data, conversion metrics, and performance analytics; software, technology, platform configurations, and tracking system architecture; and any other information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

8.2 Obligations of Confidentiality

The Affiliate agrees to:

  • Hold all Confidential Information in strict confidence and not disclose it to any third party without the prior written consent of Happy Howl;
  • Use Confidential Information solely for the purpose of participating in the Affiliate Program and promoting Happy Howl products as authorized under these terms;
  • Not use Confidential Information, directly or indirectly, to develop, launch, operate, promote, or assist any competing product, service, or business, or to benefit any third party;
  • Take all reasonable measures to protect the secrecy of and avoid disclosure or unauthorized use of Confidential Information, using at least the same degree of care as the Affiliate uses to protect its own confidential information, but in no event less than reasonable care;
  • Limit access to Confidential Information to those of its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein;
  • Promptly notify Happy Howl in writing of any unauthorized disclosure or use of Confidential Information of which the Affiliate becomes aware.

8.3 Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the Affiliate;
  • Was already known to the Affiliate prior to disclosure by Happy Howl, as demonstrated by written records;
  • Is independently developed by the Affiliate without use of or reference to Confidential Information, as demonstrated by written records;
  • Is lawfully received from a third party without restriction on disclosure and without breach of any obligation of confidentiality.

8.4 Non-Competition

The Affiliate agrees that during the term of its participation in the Affiliate Program and for a period of two (2) years following termination or withdrawal from the program, the Affiliate shall not directly or indirectly use any Confidential Information to develop, launch, operate, fund, advise, or promote any business, product, or service that competes with Happy Howl’s products or distribution model. This restriction includes, without limitation, the use of Happy Howl’s rescue partnership distribution model, commission structures, partner recruitment strategies, or any derivative or substantially similar approach.

8.5 Return or Destruction of Materials

Upon termination of the Affiliate’s participation in the program, or upon Happy Howl’s written request at any time, the Affiliate shall promptly return or destroy all materials containing Confidential Information, including all copies, summaries, excerpts, and derivative works, and shall certify such return or destruction in writing upon request.

8.6 Remedies

The Affiliate acknowledges that any breach or threatened breach of this Section 8 would cause irreparable harm to Happy Howl for which monetary damages would be an inadequate remedy. Accordingly, Happy Howl shall be entitled to seek injunctive or other equitable relief to prevent or restrain any such breach, without the necessity of proving actual damages or posting any bond, in addition to any other remedies available at law or in equity. In the event of litigation arising from a breach of this section, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs.

8.7 Survival

The obligations set forth in this Section 8 shall survive termination or expiration of the Affiliate’s participation in the Affiliate Program and shall remain in full force and effect for so long as the Confidential Information retains its confidential nature, or for the period specified in Section 8.4 with respect to non-competition, whichever is longer.

9. Termination

  • Either party may terminate participation in the Affiliate Program at any time, for any reason.
  • Upon termination, affiliates must immediately stop using all Happy Howl affiliate links and brand assets.
  • Outstanding commissions may be forfeited if termination is due to a violation of these terms.
  • Termination does not relieve the Affiliate of its obligations under Section 8 (Confidentiality & Non-Disclosure), which survive termination as set forth therein.

10. Changes to the Program

Happy Howl reserves the right to modify these terms at any time. Continued participation in the program constitutes acceptance of any updates.

11. Limitation of Liability

Happy Howl is not responsible for tracking errors, technical issues, outages, or any loss of income related to affiliate participation.

12. Governing Law & Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these terms, including but not limited to claims under Section 8, shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware. The Affiliate consents to the personal jurisdiction of such courts and waives any objection to venue therein.

By participating in the Happy Howl Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including the Confidentiality & Non-Disclosure provisions set forth in Section 8.
